Terms of Service

1. Nature of the Service

TRADEBRIDGE (“the Platform”) is an online marketplace facilitator that connects verified counterparties trading physical commodities. We do not buy, sell, broker, finance, escrow, ship, store, or take title to any goods. We are not a party to any transaction you negotiate, document, or settle through the Platform. Every commercial agreement is formed solely between the participating counterparties.

2. Eligibility & KYC

Use of the Platform is restricted to legal entities engaged in commodity trade and to their authorised personnel. By registering you confirm you have authority to bind the entity you represent. You agree to provide accurate KYC information and to maintain it throughout your use of the Platform. We may suspend or terminate access for any account we reasonably suspect of providing false information, evading sanctions, or violating these Terms.

3. Counterparty Due Diligence

KYC tiers, badges, ratings, and platform metadata are informational and do not constitute an endorsement, recommendation, guarantee, or warranty of any user. You are solely responsible for performing your own legal, commercial, financial, and compliance due diligence on every counterparty before entering into any transaction.

4. Sanctions & Anti-Money Laundering

Compliance with all applicable economic sanctions, export-control, anti-money-laundering, counter-terrorist-financing and anti-bribery laws is your sole responsibility. You must not use the Platform to facilitate, conceal, or evade any prohibited transaction or designated party listed by OFAC, HM Treasury, the EU, the UN Security Council, or any other competent authority. We may screen, freeze, suspend, or report any activity we believe in good faith to be unlawful.

5. Prohibited Activities

You may not use the Platform to: (a) post fraudulent, misleading, or non-existent inventory; (b) impersonate another entity or use a stolen mandate; (c) circulate unverifiable LOIs, ICPOs, or BCLs without intent to perform; (d) attempt market manipulation, wash trading, or coordinated price movements; (e) bypass the Platform’s KYC, sanctions, or fraud-screening systems; (f) reverse-engineer, scrape, or strain the Platform’s infrastructure.

6. Advance Payment Risk

The Platform strongly advises against advance-payment arrangements in physical commodity transactions. Deals requiring upfront payments, performance bonds, tank-reservation fees, or any pre-delivery financial commitments carry significantly elevated fraud risk. We accept no liability for losses arising from such arrangements. We recommend Documentary Letters of Credit (DLC/MT700) under UCP 600 for maximum counterparty protection.

7. Intellectual Property

The Platform, including its design, code, trademarks, and curated content, is owned by TRADEBRIDGE and its licensors. You receive a limited, non-exclusive, non-transferable licence to use the Platform for legitimate trade activity. User-generated content remains owned by the user, who grants TRADEBRIDGE a worldwide, royalty-free licence to host and display that content for the operation of the service.

8. Limitation of Liability

To the maximum extent permitted by law, TRADEBRIDGE, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, goodwill, or trading opportunity, arising out of or in connection with your use of the Platform or any transaction conducted through it. Our aggregate liability for any direct loss is limited to USD 100.

9. Dispute Resolution

Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be finally settled by arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC) by one or more arbitrators appointed in accordance with the said Rules. The seat of arbitration shall be Paris, France. The language of the arbitration shall be English.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict-of-laws principles.

11. Data Protection

We process personal data in accordance with our Privacy Policy and applicable law, including the EU General Data Protection Regulation (GDPR) and the UK GDPR.

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on the Platform with a revised “Last updated” date. Continued use after changes constitutes acceptance.
